1. INTRODUCTION

  1. These Terms and Conditions ("Terms", "Agreement") govern your access to and use of the Enanpay mobile application, website, and related services (collectively, the "Platform" or "Services") operated by iDesignEX Limited (RC Number: 7501453), a company registered under the laws of the Federal Republic of Nigeria ("Enanpay", "we", "us", "our").

    By downloading, accessing, or using the Enanpay Platform, you ("User", "you", "your") agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.

     

Key Terms:

  • Platform: The Enanpay mobile application (iOS and Android) and website
  • Services: Earning opportunities, bill payment services, wallet services, and related features
  • User Account: Your registered account on the Platform, consisting of Basic Account (email and password) and Full Account (with completed KYC)
  • KYC: Know Your Customer verification process requiring BVN, NIN, and personal details
  • Wallet: Your digital wallet within the Platform, consisting of three balances:
    • Main Balance (₦): For deposits from external banks and bill payments
    • Earning Balance (EPC): For task-based earnings in Enanpay Coin
    • Commission Balance (₦): For referral earnings in Naira
  • EPC (Enanpay Coin): Proprietary digital currency used for task-based earnings, convertible to Naira, with plans for future blockchain deployment
  • BVN: Bank Verification Number issued by Nigeria Inter-Bank Settlement System (NIBSS)
  • NIN: National Identity Number issued by National Identity Management Commission (NIMC)

 

2. ELIGIBILITY

2.1 Age Requirement

You must be at least 18 years old to use the Enanpay Platform. By using the Platform, you represent and warrant that you are at least 18 years of age.

2.2 Capacity

You must have the legal capacity to enter into binding contracts under Nigerian law.

2.3 Prohibited Users

You may not use the Platform if:

  • You have been previously suspended or banned from Enanpay
  • You are located in a country where Enanpay Services are not available
  • Your use would violate any applicable laws or regulations

2.4 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information as necessary.


3. ACCOUNT REGISTRATION AND SECURITY

3.1 Basic Account Creation

To create an Account, you must provide:

  • Valid email address
  • Secure password

Upon successful registration, you will receive a Basic Account with limited features.

 

3.2 Know Your Customer (KYC) Verification

To access full features, including withdrawals, you must complete KYC verification by providing:

Required Information:

  • First name
  • Last name
  • Date of birth
  • Gender
  • Bank Verification Number (BVN)
  • National Identity Number (NIN)

Optional Information:

  • Middle name

KYC Process:

  • Your BVN and NIN will be verified against official databases
  • Verification typically takes 24-48 hours
  • You will be notified of verification status via email
  • False or inaccurate information will result in Account suspension

Consequences of Incomplete KYC:

  • You cannot withdraw earnings
  • You cannot transfer funds to external bank accounts
  • Certain earning opportunities may be restricted

3.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your password
  • All activities that occur under your Account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring the accuracy of your KYC information
  • Keeping your BVN and NIN confidential

We will never ask for your password via email, phone, or any channel outside the Platform.

3.4 Account Suspension or Termination

We reserve the right to suspend or terminate your Account at any time if:

  • You violate these Terms
  • We suspect fraudulent, abusive, or illegal activity
  • Your KYC verification fails or reveals discrepancies
  • You provide false or misleading information
  • Required by law or regulatory authorities
  • We discontinue the Platform (with reasonable notice)

3.5 No Account Sharing

Each Account is personal to the registered User. You may not share, sell, or transfer your Account to another person. Sharing login credentials or BVN/NIN information is strictly prohibited.


4. SERVICES PROVIDED

4.1 Earning Services

Enanpay provides opportunities to earn money through:

a) Video Viewing

  • Watch sponsored video advertisements
  • Earn a specified amount per video viewed completely
  • Earnings are credited to your Wallet upon completion

b) Online Surveys

  • Complete surveys from third-party providers
  • Compensation varies based on survey length and complexity
  • Earnings credited upon verified survey completion

c) Social Media Tasks

  • Complete tasks such as following accounts, liking posts, sharing content
  • Payment varies by task complexity
  • Verification required before payment

d) Gaming Tasks

  • Complete levels or achievements in sponsored games
  • Earnings based on milestones achieved
  • Subject to verification

4.2 Bill Payment Services

Enanpay enables you to purchase or pay for:

  • Mobile data (MTN, Airtel, Glo, 9mobile)
  • Airtime/mobile credit
  • Electricity bills (all Nigerian distribution companies)
  • Cable TV subscriptions (when available)
  • Other utility services as added

4.3 Wallet Services

Your Enanpay Wallet allows you to:

  • Store earnings from completed tasks
  • Use funds for bill payments
  • Withdraw funds to your registered bank account (subject to minimum thresholds)

4.4 Service Modifications

We reserve the right to modify, suspend, or discontinue any Service at any time with or without notice. We are not liable for any modification, suspension, or discontinuation of Services.


5. EARNING RULES AND POLICIES

5.1 Earnings Not Guaranteed

Enanpay does not guarantee:

  • Availability of tasks, surveys, or videos at any given time
  • Minimum or maximum earning amounts
  • Continuous access to earning opportunities

5.2 Earning Currency: Enanpay Coin (EPC)

All task-based earnings (videos, surveys, social tasks, gaming) are paid in Enanpay Coin (EPC), a digital currency created and managed by Enanpay.

Important Notes About EPC:

  • EPC is currently a proprietary digital currency with no cash value outside the Enanpay Platform
  • 1 EPC = ₦1
  • EPC is planned for future deployment on blockchain technology, which may make it a cryptocurrency
  • Once deployed on blockchain, EPC may be subject to additional terms, regulations, and market fluctuations
  • You will be notified of any changes to EPC's status before blockchain deployment
  • Conversion of EPC to Naira for withdrawal is subject to the rates published on the Platform

5.3 Task Completion Requirements

To receive payment in EPC for tasks:

  • Tasks must be completed fully and accurately
  • Tasks must be completed personally by the Account holder (no bots, automation, or third-party completion)
  • Tasks must comply with advertiser requirements
  • Verification may be required before payment

5.4 Fraudulent Activity

The following are strictly prohibited and will result in Account termination and forfeiture of all earnings:

  • Using bots, scripts, or automated tools
  • Creating multiple accounts
  • Providing false information to qualify for tasks or surveys
  • Colluding with others to manipulate earnings
  • Any form of fraud or abuse
  • Attempting to manipulate EPC value or exploit conversion rates

5.5 Earnings Crediting

Earnings will typically be credited to your Earning Balance in EPC:

  • Immediately upon task completion (for automated tasks like video viewing)
  • Within 24-48 hours for tasks requiring manual verification (surveys, social tasks)
  • Delayed if verification or fraud checks are needed

5.6 Referral Commissions

When you refer new users to Enanpay and they complete qualifying actions, you earn referral commissions paid in Nigerian Naira (₦) to your Commission Balance.

Commission Structure:

  • ₦1,000 per successful referral who completes KYC and earn first 1000 EPC
  • Commissions are credited after the referred user meets qualification requirements
  • Commission rates may change at our discretion with 7 days' notice

5.7 Earnings Expiration

  • EPC in your Earning Balance does not expire while your Account is active
  • Naira in your Commission Balance does not expire while your Account is active
  • If your Account is inactive for 12 consecutive months, we reserve the right to contact you regarding your balance
  • Unclaimed balances after 24 months of inactivity may be subject to administrative fees or forfeiture as permitted by law.

5.8 Minimum Withdrawal Thresholds

Earning Balance (EPC):

  • Minimum withdrawal: 5,000 EPC
  • This threshold may be adjusted at our discretion with 30 days' notice to Users

Commission Balance (₦):

  • Minimum withdrawal: ₦5000
  • This threshold may be adjusted at our discretion with 30 days' notice to Users

5.9 Payment Processing

Withdrawals are processed as follows:

  • EPC is converted to Naira at the current conversion rate published on the Platform
  • Combined with Commission Balance (if withdrawing both)
  • Transferred via our payment partner (Monnify) to your verified bank account
  • Processing time: typically 5-30 minutes, up to 24 hours during high-volume periods

5.10 EPC Conversion and Market Risk

Current Phase (Pre-Blockchain):

  • EPC conversion rate to Naira is fixed and controlled by Enanpay
  • Conversion rate may be adjusted with 7 days' notice

Future Phase (Post-Blockchain Deployment):

  • Once EPC is deployed on blockchain, its value may fluctuate based on market demand
  • You bear all risks associated with cryptocurrency value fluctuations
  • Enanpay is not responsible for losses due to EPC price changes
  • Additional terms will apply to blockchain-based EPC

 

6. BILL PAYMENT TERMS

6.1 Third-Party Services

Bill payment services are processed through third-party providers. We act as an intermediary and are not directly responsible for:

  • Service delivery by telecommunications companies, electricity distributors, or other service providers
  • Service interruptions or failures by third parties
  • Pricing set by third-party service providers

6.2 Payment Authorization

By initiating a bill payment, you authorize us to deduct the specified amount from your Wallet and remit payment to the relevant service provider.

6.3 No Refunds

Bill payments are generally final and non-refundable, except:

  • If the transaction fails due to our technical error
  • If the service provider does not deliver the service
  • As required by applicable law

Refund requests must be submitted within 24 hours of the transaction.

6.4 Transaction Limits

We may impose transaction limits for security purposes. Limits may vary by User and transaction type.

6.5 Pricing

Prices for data, airtime, and bill payments are displayed at the time of purchase and may change without notice. Prices include any applicable fees or charges.


7. WALLET AND FINANCIAL TERMS

7.1 Three-Balance Wallet System

Your Enanpay Wallet consists of three separate balances:

a) Main Balance (₦ - Nigerian Naira)

  • Used for receiving funds transferred from external bank accounts
  • Used for making bill payments on the Platform
  • Denominated in Nigerian Naira

b) Earning Balance (EPC - Enanpay Coin)

  • Used for receiving task-based earnings (videos, surveys, tasks, gaming)
  • Used for making bill payments on the Platform
  • Denominated in Enanpay Coin (EPC), a proprietary digital currency
  • Convertible to Naira upon withdrawal at published conversion rates
  • Subject to a minimum withdrawal threshold of 5,000 EPC

c) Commission Balance (₦ - Nigerian Naira)

  • Used for receiving referral commissions
  • Denominated in Nigerian Naira
  • Can be combined with converted EPC for withdrawals

7.2 Wallet Operations

Deposits to Main Balance:

  • Transfer Naira from your external bank account to your Enanpay Main Balance
  • Subject to Monnify's transfer limits and processing times
  • Funds are available for bill payments upon confirmation
  • Transfer is subject to charges

Earning Receipts:

  • Task earnings are automatically credited to your Earning Balance in EPC
  • Referral commissions are automatically credited to your Commission Balance in Naira

Withdrawals:

  • Requires completed KYC verification
  • EPC from Earning Balance is converted to Naira at the current published rate
  • Combined with the Commission Balance if requested
  • Total Naira amount transferred to your verified bank account via Monnify
  • Minimum withdrawal: 5,000 EPC (or Naira equivalent from Commission Balance)

7.3 Wallet Not a Bank Account

Your Enanpay Wallet is NOT a bank account and:

  • Is not insured by the Nigeria Deposit Insurance Corporation (NDIC)
  • Does not earn interest
  • Is not subject to banking regulations (unless we obtain a banking license)
  • Funds are held by our payment service provider, Monnify, subject to their terms

7.4 EPC Conversion and Valuation

Current Conversion Rate:

  • Published on the Platform and updated as necessary
  • Example: 1 EPC = ₦1
  • Subject to change with 7 days' notice to Users

Factors Affecting Conversion Rate:

  • Enanpay operational costs
  • Advertiser payment rates
  • Economic conditions
  • Platform sustainability requirements

Post-Blockchain Deployment:

  • Once EPC becomes a blockchain-based cryptocurrency, conversion rates may fluctuate based on market conditions
  • Enanpay reserves the right to implement dynamic conversion rates
  • Users bear currency risk once EPC is traded on external exchanges

7.5 Withdrawal Process

To withdraw funds from your Wallet:

Step 1: Verify Eligibility

  • Ensure KYC is completed and approved
  • Confirm Earning Balance meets the minimum threshold
  • Verify bank account details are accurate

Step 2: Initiate Withdrawal

  • Select the amount to withdraw from the Earning Balance (EPC)
  • Optionally include Commission Balance (₦)
  • Review conversion rate and total Naira amount
  • Confirm withdrawal request

Step 3: Processing

  • EPC is converted to Naira at the published rate
  • Combined with Commission Balance
  • Total amount transferred to your registered bank account via Monnify
  • Processing time: 5-30 minutes (up to 24 hours during peak periods)

Step 4: Confirmation

  • You receive an email and an in-app notification upon successful transfer
  • Transaction details are recorded in your transaction history

7.6 Withdrawal Fees

Withdrawal fees are structured as follows:

  • Free for withdrawals above 10,000 EPC; ₦100 for withdrawals below 10,000 EPC
  • Flat fee of ₦150 per withdrawal

Fees are deducted from the withdrawal amount before transfer to your bank account.

7.7 Failed Transactions

If a withdrawal or deposit transaction fails:

  • Funds are returned to your Wallet (Main, Earning, or Commission Balance as applicable)
  • You will be notified of the failure reason via email and in-app notification
  • You may retry the transaction after addressing the issue
  • No fees are charged for failed transactions

7.8 Transaction Disputes

If you believe a transaction was processed incorrectly:

  • Contact support@enanpay.com within 24 hours of the transaction
  • Provide transaction ID, date, amount, and description of the issue
  • We will investigate within 14 business days
  • Resolution may include transaction reversal, credit adjustment, or other remedy as appropriate

7.9 Unclaimed Funds

If your Account remains inactive (no login or transaction) for 12 consecutive months:

  • We will attempt to contact you via email at 10 months, 11 months, and 12 months
  • After 12 months, administrative fees may be applied to maintain the account
  • After 24 months of inactivity, balances may be subject to escheatment as required by Nigerian law
  • You may reactivate your account and claim balances at any time before escheatment

7.10 Balance Transfer Restrictions

You may NOT:

  • Transfer EPC or Naira to other Enanpay users (peer-to-peer transfers are not permitted)
  • Convert EPC outside of the official withdrawal process
  • Use your Wallet for merchant payments outside the Platform
  • Receive funds from third parties (except your own bank account)

These restrictions may change if we introduce peer-to-peer features, subject to regulatory approval.

7.11 Currency Risk Acknowledgment

By using the Enanpay Wallet and holding EPC, you acknowledge and accept that:

  • EPC is a digital currency with value determined by Enanpay (currently) or market forces (post-blockchain)
  • The value of EPC may increase or decrease
  • You may lose purchasing power if the EPC value declines
  • Enanpay is not responsible for EPC value fluctuations
  • Cryptocurrency regulations in Nigeria are evolving and may impact EPC
  • You should only earn and hold EPC amounts you can afford to lose

 

8. FEES AND CHARGES

8.1 Earning Services

Enanpay does not charge Users to participate in earning activities. However, we retain a percentage of advertiser payments as our service fee, as disclosed in our marketing materials.

8.2 Bill Payment Services

Prices for bill payments include our service fees. We aim to offer competitive rates, but may adjust pricing at any time.

8.3 Withdrawal Fees

Withdrawal fees (if any) are disclosed at the time of withdrawal initiation.

8.4 Changes to Fees

We reserve the right to modify our fees at any time. Changes will be effective immediately for new transactions and will be posted on the Platform.


9. TAXES

9.1 User Tax Responsibility

You are solely responsible for determining and paying any taxes applicable to your earnings or transactions through the Platform, including but not limited to:

  • Income tax on earnings (both EPC and Naira)
  • Value Added Tax (VAT) where applicable
  • Capital gains tax (if EPC becomes tradeable cryptocurrency and you realize gains)
  • Any other taxes imposed by the Federal Inland Revenue Service (FIRS) or state tax authorities

9.2 Earnings Reporting

EPC Earnings:

  • EPC earned through tasks is considered income at the time of earning, valued at the current conversion rate to Naira
  • You are responsible for reporting EPC earnings to FIRS, whether or not you convert to Naira

Commission Earnings:

  • Naira earned through referrals is taxable income
  • You are responsible for reporting and paying taxes on commission earnings

9.3 Tax Reporting by Enanpay

Enanpay may be required to:

  • Report your earnings to the Federal Inland Revenue Service (FIRS) or other tax authorities
  • Provide tax documentation (e.g., earnings statements) upon request
  • Collect Tax Identification Numbers (TIN) from Users as required by law

By using the Platform, you consent to such reporting and documentation.

9.4 Tax Withholding

We reserve the right to withhold taxes from your earnings if required by Nigerian law. If withholding is required:

  • You will be notified of withholding rates and amounts
  • Withheld amounts will be remitted to FIRS on your behalf
  • You will receive documentation for your tax records

9.5 Cryptocurrency Tax Treatment

If and when EPC becomes a blockchain-based cryptocurrency:

  • Tax treatment may change based on FIRS guidance
  • You may be subject to capital gains tax on the EPC value appreciation
  • Additional tax reporting requirements may apply
  • We will notify you of any changes to tax treatment before blockchain deployment

9.6 BVN and NIN for Tax Compliance

Your Bank Verification Number (BVN) and National Identity Number (NIN) provided during KYC may be used for:

  • Verifying your identity for tax reporting purposes
  • Compliance with FIRS requirements
  • Preventing tax evasion and fraud

9.7 Tax Advisory Disclaimer

Enanpay does not provide tax advice. You should consult with a qualified tax professional regarding your tax obligations related to using the Platform.


10. PROHIBITED ACTIVITIES

You agree NOT to:

10.1 Fraudulent Activities

  • Create multiple accounts using different email addresses
  • Use false, stolen, or borrowed BVN or NIN
  • Provide misleading information during registration or KYC
  • Share or sell your Account credentials, BVN, or NIN
  • Engage in any form of fraud, identity theft, or deception

10.2 Automated Tools

  • Use bots, scripts, scrapers, or any automated tools to access or use the Platform
  • Automate task completion (video viewing, surveys, etc.)
  • Manipulate or interfere with the proper functioning of the Platform

10.3 Abuse of Services

  • Exploit bugs, glitches, or errors for personal gain
  • Manipulate EPC conversion rates or balances
  • Engage in activities that unfairly disadvantage other Users
  • Abuse referral systems through fake accounts or collusion

10.4 Illegal Activities

  • Use the Platform for money laundering, terrorist financing, or other illegal purposes
  • Violate any applicable laws or regulations
  • Use the Platform to evade taxes
  • Facilitate or engage in fraudulent schemes

10.5 Intellectual Property Violations

  • Reproduce, distribute, or create derivative works from Platform content without permission
  • Remove or alter copyright, trademark, or proprietary notices
  • Reverse engineer the EPC system or blockchain technology (when deployed)

10.6 System Interference

  • Transmit viruses, malware, or harmful code
  • Interfere with or disrupt the Platform or servers
  • Attempt unauthorized access to other Users' accounts or Wallets

10.7 KYC and BVN/NIN Violations

  • Provide someone else's BVN or NIN
  • Use stolen or fake identity documents
  • Complete KYC on behalf of another person
  • Sell or share KYC-verified accounts

Violation of these prohibitions may result in:

  • Immediate Account termination
  • Forfeiture of all balances (Main, Earning, and Commission)
  • Reporting to law enforcement and regulatory authorities
  • Legal action for damages
  • Permanent ban from the Platform

 

11. INTELLECTUAL PROPERTY RIGHTS

11.1 Platform Ownership

All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, icons, images, audio, video, software, and data compilations, are the exclusive property of iDesignEX Limited or its licensors and are protected by Nigerian and international copyright, trademark, and other intellectual property laws.

11.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes, subject to these Terms.

11.3 Restrictions

You may not:

  • Copy, modify, distribute, sell, or lease any part of the Platform
  • Reverse engineer or attempt to extract source code
  • Use the Platform for any commercial purpose without our written consent

11.4 Trademarks

"Enanpay," the Enanpay logo, and other marks are trademarks of iDesignEX Limited. You may not use these trademarks without our prior written permission.

11.5 User-Generated Content

If you submit content to the Platform (e.g., testimonials, feedback), you grant us a worldwide, royalty-free, perpetual license to use, reproduce, modify, and distribute such content for promotional and operational purposes.


12. THIRD-PARTY SERVICES AND LINKS

12.1 Third-Party Providers

The Platform integrates with third-party services, including:

  • Payment processors
  • Survey providers
  • Advertisers
  • Telecommunications companies
  • Utility service providers

12.2 No Endorsement

We do not endorse or assume responsibility for third-party services. Your interactions with third parties are solely between you and them.

12.3 Third-Party Links

The Platform may contain links to external websites. We are not responsible for the content, privacy practices, or terms of third-party sites.

12.4 Third-Party Terms

Use of third-party services may be subject to their own terms and conditions, which you agree to comply with.


13. DATA PROTECTION AND PRIVACY

13.1 Separate Privacy Policy

Your use of the Platform is governed by our comprehensive Privacy Policy, which is a separate document available at https://www.enanpay.com/legal/privacy-policy.

13.2 KYC Data Collection

By completing KYC verification, you consent to our collection, verification, and storage of:

  • Personal identification information (name, date of birth)
  • Bank Verification Number (BVN)
  • National Identity Number (NIN)
  • Bank account details

This information is collected for:

  • Identity verification and fraud prevention
  • Compliance with Know Your Customer (KYC) and Anti-Money Laundering (AML) regulations
  • Facilitating withdrawals and financial transactions
  • Tax reporting as required by law

13.3 BVN and NIN Verification

Your BVN and NIN will be verified through:

  • Nigeria Inter-Bank Settlement System (NIBSS) for BVN
  • National Identity Management Commission (NIMC) for NIN
  • Other authorized verification services

By providing your BVN and NIN, you authorize us to:

  • Verify your identity with NIBSS and NIMC
  • Store this information securely for the duration of your Account
  • Use this information for compliance, fraud prevention, and transaction processing

13.4 Data Security

We implement reasonable security measures to protect your data, including:

  • Encryption of sensitive data (BVN, NIN, passwords)
  • Secure storage with our payment partner (Monnify)
  • Access controls limiting who can view your personal information
  • Regular security audits and updates

However, no system is completely secure, and we cannot guarantee absolute security.

13.5 Data Sharing

We may share your information with:

  • Monnify (payment processing partner) - for transaction processing and KYC verification
  • NIBSS and NIMC (for BVN/NIN verification)
  • Tax authorities (FIRS) - as required by law
  • Law enforcement or regulatory agencies - when legally required
  • Service providers who assist in Platform operations (under confidentiality obligations)

We will NOT sell your personal information to third parties.

13.6 Data Retention

We retain your personal information for:

  • The duration of your active Account
  • 5 years after the account closure, as required for legal and regulatory compliance
  • Longer periods if required by law or ongoing legal proceedings

13.7 Your Data Rights

Under the Nigeria Data Protection Regulation (NDPR), you have the right to:

  • Access your personal data
  • Correct inaccurate data
  • Request deletion of your data (subject to legal retention requirements)
  • Object to data processing in certain circumstances
  • Withdraw consent (where processing is based on consent)

13.8 Privacy Policy Incorporation

For comprehensive information about how we collect, use, and protect your data, please review our full Privacy Policy at https://www.enanpay.com/legal/privacy-policy. The Privacy Policy is incorporated into these Terms by reference and has the same legal effect as these Terms.

 

14. DISCLAIMERS

14.1 Platform "AS IS"

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY

14.2 No Guarantee of Earnings

WE DO NOT GUARANTEE:

  • Availability of earning opportunities
  • Specific earning amounts
  • Uninterrupted or error-free Service

14.3 Third-Party Services

WE ARE NOT RESPONSIBLE FOR:

  • Failures by telecommunications providers, utility companies, or other third parties
  • Errors or delays in third-party services
  • Third-party pricing or policies

14.4 Technical Issues

We do not warrant that:

  • The Platform will be available at all times
  • The Platform will be free from bugs, errors, or viruses
  • Data transmission will be secure or error-free

14.5 Investment Disclaimer

Enanpay is not an investment platform. Earnings are based on task completion and are not returns on investment.


15. LIMITATION OF LIABILITY

15.1 Maximum Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, iDesignEX LIMITED'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE LESSER OF:

  • ₦50,000 (FIFTY THOUSAND NAIRA), OR
  • THE TOTAL AMOUNT YOU EARNED THROUGH THE PLATFORM IN THE 12 MONTHS PRECEDING THE CLAIM

15.2 Exclusion of Damages

IN NO EVENT SHALL iDesignEX LIMITED BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • DAMAGES RESULTING FROM THIRD-PARTY SERVICES OR PRODUCTS

15.3 Exceptions

Some jurisdictions do not allow limitations on implied warranties or the exclusion of certain damages. If these laws apply to you, some or all of the above disclaimers or limitations may not apply, and you may have additional rights.


16. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless iDesignEX Limited, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney's fees) arising from or related to:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any rights of third parties
  • Your violation of applicable laws or regulations
  • Fraudulent or illegal activity on your Account

 

17. DISPUTE RESOLUTION

17.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

17.2 Informal Resolution

Before initiating formal proceedings, you agree to attempt to resolve disputes informally by contacting us at support@enanpay.com. We will attempt to resolve the dispute within 30 days.

17.3 Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria, 2004.

Arbitration Rules:

  • Arbitration shall be conducted by a single arbitrator
  • Location: Ibadan, Nigeria
  • Language: English
  • Costs: Each party bears its own costs unless the arbitrator decides otherwise

17.4 Exceptions to Arbitration

Either party may seek injunctive or equitable relief in court to protect intellectual property rights or prevent irreparable harm.

17.5 Jurisdiction

If arbitration does not apply, you agree that any legal action shall be brought exclusively in the courts of Ibadan State, Nigeria, and you consent to the jurisdiction of such courts.

17.6 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY AND NOT AS PART OF A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION.


18. TERMINATION

18.1 Termination by User

You may terminate your Account at any time by:

  • Contacting support@enanpay.com with your registered email
  • Following the account deletion process in the Platform
  • Requesting closure via in-app support

Before Account Closure:

  • You must withdraw all available balances that meet minimum thresholds
  • Balances below minimum thresholds (e.g., less than 5,000 EPC) will be forfeited
  • KYC verification must be completed to withdraw any balances
  • Pending transactions must be completed or cancelled

18.2 Termination by Enanpay

We may suspend or terminate your Account immediately, without notice, if:

  • You violate these Terms
  • We suspect fraudulent, illegal, or abusive activity
  • Your KYC verification fails or reveals false information
  • You provide a fake, stolen, or borrowed BVN or NIN
  • You create multiple accounts
  • Required by law, court order, or regulatory directive
  • We discontinue the Platform (with reasonable notice for users in good standing)

18.3 Effect of Termination

Upon termination:

  • Your right to use the Platform ceases immediately
  • You remain liable for any outstanding obligations or violations
  • Provisions that by their nature should survive termination (e.g., intellectual property, indemnification, limitation of liability, dispute resolution) will continue to apply

18.4 Wallet Balance on Termination

Voluntary Termination (User-Initiated):

  • You may withdraw all balances that meet minimum thresholds
  • Main Balance: Full withdrawal available
  • Earning Balance: Withdraw if ≥ 5,000 EPC (converted to Naira)
  • Commission Balance: Withdraw if ≥ minimum threshold
  • Balances below thresholds are forfeited

Involuntary Termination (For Terms Violations):

  • Main Balance: Available for withdrawal (funds you deposited)
  • Earning Balance: Subject to forfeiture if earned through fraudulent activity
  • Commission Balance: Subject to forfeiture if earned through fraudulent referrals
  • We reserve the right to investigate before releasing funds
  • Legitimate balances will be made available for withdrawal after investigation

Termination Due to Inactivity:

  • We will attempt to contact you before account closure
  • You have 30 days to respond and withdraw balances
  • After 30 days, account and balances may be closed, subject to applicable law

18.5 EPC Status After Blockchain Deployment

If EPC has been deployed on blockchain:

  • You may have the option to transfer EPC to an external wallet before account closure
  • If you do not transfer EPC, it will be converted to Naira at the current market rate and made available for withdrawal
  • You bear responsibility for managing EPC in external wallets after account closure
  • Enanpay is not responsible for the EPC value after transfer to external wallets

 

19. AMENDMENTS TO TERMS

19.1 Right to Modify

We reserve the right to modify these Terms at any time. Changes will be effective:

  • Immediately upon posting for non-material changes
  • 30 days after notice for material changes

19.2 Notice of Changes

We will notify you of material changes by:

  • Email to your registered email address
  • In-app notification
  • Posting notice on our website

19.3 Continued Use

Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms.

19.4 Rejection of Changes

If you do not agree to the modified Terms, you must stop using the Platform and may terminate your Account.


20. GENERAL PROVISIONS

20.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and iDesignEX Limited regarding the Platform and supersede all prior agreements.

20.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

20.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

20.4 Assignment

You may not assign or transfer your Account or these Terms without our written consent. We may assign these Terms to any affiliate or successor entity.

20.5 Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including but not limited to:

  • Natural disasters
  • War, terrorism, civil unrest
  • Government actions or regulations
  • Strikes or labor disputes
  • Internet or telecommunications failures
  • Acts of God

20.6 Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and iDesignEX Limited.

20.7 Language

These Terms are drafted in English. If translated into other languages, the English version shall prevail in case of conflict.

20.8 Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.
